Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of ozdatacenters.com and any related pages, content, graphics, tools and forms (together, the “Site”). The Site is operated by BlackForge Ventures, LLC, a Delaware series limited liability company, together with its applicable series and affiliates (“OZ Data Centers,” “we,” “us” or “our”).

By accessing or using the Site, you agree to these Terms, our Privacy Policy and the disclosures on our Legal & Disclosures page, each of which is incorporated by reference. If you do not agree, do not use the Site.

We may update, suspend or discontinue any part of the Site at any time without notice. We may revise these Terms from time to time; the effective date above shows when they were last updated. Your continued use of the Site after a change takes effect means you accept the revised Terms.

The Site is provided for general information only. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other investment, and nothing on the Site should be relied on in connection with any investment decision. Any offering will be made only through confidential offering documents, to eligible investors, where permitted by law.

Nothing on the Site is legal, tax, accounting, investment or engineering advice. Opportunity Zone rules are complex, depend on each taxpayer's circumstances and are subject to change and to pending Treasury guidance. Consult your own advisers before acting.

Using the Site, reading our guides or sending us a message does not create an advisory, fiduciary, brokerage, attorney-client or other professional relationship between you and us.

The Site is intended for users who are at least 18 years old and located in the United States. You are responsible for complying with the laws that apply to you where you access the Site. The Site does not currently offer user accounts; if we add investor or partner portals, separate terms will apply to them.

You agree not to:

• use the Site in violation of any law or regulation, or to infringe anyone's rights;
• submit false, misleading or impersonating information through our forms;
• interfere with the security or operation of the Site, or probe, scan or test it for vulnerabilities without our written consent;
• send spam, malware or automated submissions through our forms;
• reproduce, republish or redistribute the Site's content except as allowed in the next section;
• frame or mirror the Site, or present our content in a way that suggests a relationship with or endorsement by us that does not exist.

Search engines and AI assistants may crawl, index, summarize and cite the Site in line with our robots.txt file, provided they attribute the source and link back to the relevant page.

The Site and its content, including text, guides, graphics, figures, data compilations, design, logos and software, are owned by or licensed to us and are protected by copyright, trademark and other laws. All rights not expressly granted are reserved.

You may view and print pages for your own informational, non-commercial use. You may quote short excerpts of our guides, with attribution to “OZ Data Centers” and a link to the source page. Any other use, including republishing full guides or figures, requires our prior written permission.

“OZ Data Centers,” the OZ Data Centers logo, “BlackForge” and related names and marks are trademarks of BlackForge Ventures, LLC or its affiliates. Third-party names and marks belong to their respective owners, and their appearance on the Site does not imply endorsement.

When you contact us, you represent that the information you provide is accurate and that you have the right to share it. Please do not send confidential or proprietary information, or personal financial or tax records, through the Site's forms or email unless we have agreed in writing to receive it under a confidentiality agreement.

Unless a written agreement says otherwise, we are not obligated to treat unsolicited ideas, proposals or materials as confidential, and we may use them without obligation to you. Our handling of personal information is described in our Privacy Policy.

Our guides cite and link to third-party sources, including government agencies, courts, law and accounting firms, industry publications and data providers. We do not control those sources and are not responsible for their content, availability, accuracy or privacy practices. A link or citation is not an endorsement.

We work to keep the Site accurate and current, and each guide shows the date it was last reviewed. Laws, regulations, zone designations, market data and other information change, sometimes quickly, and some topics depend on guidance that has not been issued. The Site may contain errors or become out of date, and we do not undertake to update it. Worked examples and figures marked illustrative are hypothetical and are not predictions or promises of any result.

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation.

To the fullest extent permitted by law, neither we nor our series, affiliates, members, managers, officers, employees, partners or agents will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, tax benefits or investment value, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless BlackForge Ventures, LLC, its series and affiliates, and their members, managers, officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms or of any law or third-party right.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their personal jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

These Terms, with the policies they incorporate, are the entire agreement between you and us about the Site. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Headings are for convenience only.
